These Terms and Conditions (“Terms”) govern access to and use of the Neo Labs LLC website, products, content, and related services. “Neo Labs,” “we,” “us,” and “our” refer to Neo Labs LLC. “Customer,” “buyer,” “you,” and “your” refer to any person or entity accessing the website or purchasing products from us.

Please read these Terms carefully before using this website or placing an order. By accessing the website, creating an account, submitting an order, or checking an acceptance box during checkout, you acknowledge that you have read, understood, and agreed to these Terms.

1. Age Requirement

Used to diagnose, treat, cure, mitigate, or prevent any disease or medical condition; or
Administered to humans or animals under any circumstances.

The words “Research Use Only,” “RUO,” and “Not for Human or Veterinary Use” describe the restricted purpose for which our products are offered. Those statements do not authorize a buyer to disregard federal, state, local, institutional, professional, or international requirements.

3. FDA and Regulatory Disclaimer

Products offered by Neo Labs LLC have not been approved by the U.S. Food and Drug Administration for human or veterinary use. Unless expressly stated otherwise in writing, they have not been evaluated by the FDA for safety, effectiveness, therapeutic benefit, medical use, dosage, administration, or suitability for any particular purpose.

No product offered by Neo Labs LLC is represented as an FDA-approved drug, biologic, medical treatment, dietary supplement, food, cosmetic, or medical device.

Statements and materials appearing on this website:

Have not been evaluated by the FDA;

5. Customer Qualifications and Representations

By purchasing from Neo Labs LLC, you certify that:

You understand the hazards associated with laboratory research chemicals and synthetic peptides.

You will not resell, transfer, distribute, or provide a product to anyone you reasonably suspect may use it for an unlawful, clinical, personal, or veterinary purpose.
You will not relabel, advertise, or represent a product as suitable for human consumption, administration, treatment, weight management, bodybuilding, wellness, cosmetic enhancement, or therapeutic use.
You will comply with all applicable laws, regulations, institutional policies, licensing requirements, and safety standards.

6. Prohibited Customers and Transactions

Neo Labs LLC may refuse service, restrict account access, request additional information, or cancel an order when we reasonably suspect:

Human or veterinary use;
Self-experimentation;
Diversion or resale for personal use;
Fraudulent payment activity;
Identity or age misrepresentation;
Use of false contact or shipping information;
Shipment to a prohibited jurisdiction;
Violation of these Terms;
Unlawful export or import activity;

Any activity creating an unreasonable legal, safety, financial, or reputational risk.

We are not required to disclose confidential fraud-prevention, compliance-screening, or risk-management procedures.

7. No Human-Use Marketing or Testimonials

Customers may not submit or publish reviews, testimonials, photographs, videos, social-media posts, or other content through Neo Labs LLC platforms that describe:

Personal consumption or administration;
Weight loss or body-composition results;
Muscle growth or athletic performance;
Treatment of symptoms or disease;
Dosages, cycles, injections, or reconstitution for administration;
Before-and-after medical or physical results;
Side effects from personal use; or
Any other human or veterinary outcome.

Neo Labs LLC may reject, remove, report, or preserve such content as reasonably necessary.

Health-related advertising claims must be truthful, not misleading, and supported by competent and reliable scientific evidence. A disclaimer generally does not cure advertising that otherwise communicates an unsupported health or disease claim.

8. Product Information

We strive to provide accurate product names, descriptions, photographs, specifications, concentrations, quantities, purity information, and documentation. However:

Photographs may be illustrative.
Packaging may change without notice.
Minor differences in color, texture, appearance, fill volume, or packaging may occur.
Scientific information may change as research develops.
Typographical, pricing, or listing errors may occur.

They do not represent that a product is sterile, pharmaceutical grade, clinically safe, therapeutically effective, or suitable for administration.

10. Product Handling and Safety

Research chemicals may present known and unknown hazards. The absence of complete toxicological, pharmacological, environmental, or safety data does not mean a product is safe.

Customers are solely responsible for:

Risk assessment;
Safe receipt and storage;
Controlled access;
Proper labeling;
Personal protective equipment;
Spill prevention and response;
Appropriate laboratory ventilation;
Avoiding cross-contamination;
Waste disposal;
Employee or researcher training;
Maintaining required records; and
Complying with institutional and governmental requirements.

Products should be kept secured and inaccessible to children, unauthorized persons, animals, food-preparation areas, and residential living spaces.

11. No Sterility Representation

Unless Neo Labs LLC expressly states otherwise in a product-specific written document, products are not represented or warranted to be sterile, pyrogen-free, endotoxin-free, pathogen-free, pharmaceutical grade, injectable grade, or suitable for aseptic or clinical use.

A container resembling a pharmaceutical vial does not mean that its contents are intended, manufactured, packaged, or approved for injection or other administration.

12. Orders and Acceptance

Submitting an order does not guarantee acceptance. An order becomes accepted only after Neo Labs LLC confirms the order and payment and releases it for fulfillment.

We may:

Limit quantities;
Correct pricing or listing errors;
Request identity or eligibility verification;
Decline suspicious transactions;
Cancel duplicate or high-risk orders;
Restrict shipping destinations;
Discontinue products; or
Refund a payment when an order cannot be fulfilled.

If an obvious pricing or product-description error occurs, we may cancel the affected order and refund the amount paid.

13. Prices and Payment

Prices are displayed in U.S. dollars unless otherwise stated. Applicable taxes, shipping fees, processing fees, duties, and other charges may be added during checkout.

The customer represents that:

The payment method is valid;
The customer is authorized to use it;
The billing information is accurate; and
The transaction is not fraudulent or unauthorized.

Fraudulent transactions, chargeback abuse, identity theft, and unauthorized payment activity may be reported to payment processors, financial institutions, carriers, law enforcement, or other appropriate parties.

14. Shipping and Delivery

Shipping dates and transit times are estimates and are not guaranteed unless explicitly stated in writing.

Neo Labs LLC is not responsible for delays caused by:

Carriers;
Weather;
Natural disasters;
Incorrect addresses;
Customs or border inspections;
Government restrictions;
Labor disruptions;
Failed delivery attempts;
Security screening;
Events beyond our reasonable control; or
A customer’s failure to retrieve or accept a package.

The customer is responsible for providing a complete and accurate delivery address and ensuring that the shipment can lawfully be delivered, received, stored, and possessed at its destination.

15. Inspection and Reporting Problems

Customers must inspect all shipments promptly upon delivery.

Any claim involving an incorrect product, missing item, visibly damaged shipment, or shipping discrepancy must be submitted to Neo Labs LLC within [insert number] calendar days after confirmed delivery.

The customer may be required to provide:

The order number;
Photographs of the shipping container;
Photographs of the product and label;
Lot or batch information;

21. Assumption of Risk

The customer acknowledges that research chemicals may have incomplete safety profiles and may involve known or unknown risks.

By purchasing or handling a product, the customer voluntarily assumes all risks associated with its lawful research use, storage, handling, transportation, disposal, and laboratory application, except to the extent a risk cannot lawfully be assigned to the customer.

22. Indemnification

To the fullest extent permitted by law, the customer agrees to defend, indemnify, and hold harmless Neo Labs LLC and its owners, members, managers, employees, contractors, suppliers, and service providers from claims, damages, losses, liabilities, penalties, judgments, and reasonable legal expenses arising from:

The customer’s breach of these Terms;
Misuse of a product;
Human or veterinary use;
Unlawful resale or distribution;
Negligent handling or storage;
Failure to comply with applicable law;
False representations made during purchase;
Injury or property damage caused after delivery; or
Content submitted or published by the customer.

This provision does not apply to liability that cannot lawfully be waived or shifted.

23. Compliance With Laws

Customers are solely responsible for determining whether a product may be lawfully purchased, received, possessed, imported, exported, stored, used, or transferred in their location.

Availability on the website does not constitute a representation that a product is lawful in every jurisdiction.
